Terms of Service

Last updated October 12, 2026

These terms are the agreement between you and Cognitive AI for using Daniel. By creating an account or using Daniel, you agree to them. If you use Daniel for a company, you confirm you can accept these terms for it.

The service

Daniel is an AI software engineer. It reads the repositories you choose, plans and writes changes, runs tests in an isolated sandbox, and opens pull requests. Daniel never merges code. You decide what is merged and released.

Your account

Keep your sign-in secure and tell us right away about any unauthorized use. You must be at least 18. You are responsible for activity on your account.

Your code and the results

You keep all rights to your code. As between you and us, you own the changes Daniel produces for you. You give us permission to access and process your code and data only as needed to provide the service. We do not use your code to train AI models.

Your responsibilities

AI can make mistakes. Review every pull request before you merge it, keep your own backups, and test changes in your own environment before release. Only connect repositories and tools you are authorized to use.

Acceptable use

Do not use Daniel to break the law, infringe others' rights, build malware or attack systems, get around usage limits or security, resell the service without our written agreement, or overload it on purpose. We may suspend accounts that put the service or other customers at risk.

Plans, billing and cancellation

  • New accounts include a free trial of $2 of work. No card is needed.
  • Paid plans are billed monthly in advance through Stripe and renew automatically until you cancel.
  • Each plan includes a monthly amount of AI usage. When it runs out, you can upgrade or wait for the next month.
  • You can cancel anytime in Settings. Cancellation takes effect at the end of the current billing period, and you keep access until then.
  • Fees are non-refundable except where the law requires otherwise. If something went wrong on our side, email us and we will make it right.
  • We may change prices with at least 30 days’ notice. Changes apply from your next billing period.

Third-party services

Daniel works with services such as GitHub, GitLab, Slack, Microsoft Teams, Jira and Linear. Your use of those services follows their terms. We are not responsible for them.

Availability and changes

We work to keep Daniel available and reliable, but we do not guarantee it will be uninterrupted. We may improve or change features. If we make a change that significantly reduces what you paid for, you may cancel and we will refund the unused part of the current period.

Disclaimer

Except as stated in these terms, Daniel is provided “as is”, without warranties of any kind, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows.

Limitation of liability

To the fullest extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or lost profits, revenue or data. Our total liability for any claim relating to Daniel is limited to the fees you paid us in the 12 months before the claim.

Ending the agreement

You can stop using Daniel and close your account at any time. We may suspend or end access if you seriously breach these terms. After closing, you can ask us for an export of your data within 30 days.

Governing law

These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Disputes will be heard in the state or federal courts in Dallas County, Texas.

Changes to these terms

We will post updates here and notify signed-in users of material changes at least 30 days before they take effect.
